By accessing or using capital57.com (the "Site") you agree to be bound by these Terms of Use (the "Terms") and by the Privacy Policy available at capital57.com/privacy. If you do not accept these Terms, you should not access or use the Site.

Your continued use of the Site following any change to these Terms constitutes acceptance of the change.

About the Site

The Site is operated by Capital57 Ventures Pty Ltd ("Capital57", "we", "us" or "our"), a private venture capital manager domiciled in Sydney, Australia, with platform support from Abeer Portfolio and IBCAPEX.

Informational purpose only

The Site is provided for general informational purposes only. Nothing on the Site constitutes:

  • an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or financial product in any jurisdiction;
  • investment advice, tax advice, legal advice, accounting advice, or a recommendation of any kind;
  • an offer of financial services in any jurisdiction in which the making of such an offer would require registration, licensing, or authorisation that Capital57 does not hold.

Any references on the Site to the Capital57 Alpha Fund or to related investment vehicles are provided by way of background information only. Any actual offering of fund interests will be made solely by way of a private placement memorandum, subscription agreement, and other definitive offering documents provided to qualifying investors on a confidential basis. The information on the Site is qualified in its entirety by reference to those definitive documents.

Investment in private venture funds involves substantial risk, including the risk of total loss of capital, illiquidity, and long holding periods.

Eligibility and restricted persons

The Site and its contents are directed only at persons who qualify to receive information about private venture capital funds under the laws of their country of residence, which typically requires status as a wholesale, professional, sophisticated, accredited, or institutional investor. By accessing the Site, you represent that you meet the applicable qualifying investor standard in your jurisdiction.

The Site is not directed at, and its contents are not intended for distribution to or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to local law or regulation.

United States. The Site and any related fund offering are not directed at persons located in the United States or at any US Person as defined under Regulation S of the US Securities Act of 1933, other than those who meet the definition of an "accredited investor" under Rule 501 of Regulation D and, where applicable, "qualified purchaser" under section 2(a)(51) of the US Investment Company Act of 1940. Any US Person accessing the Site outside those exemptions should exit the Site.

Other jurisdictions. Similar restrictions apply in the European Union, the United Kingdom, and other jurisdictions where private fund offerings are subject to marketing restrictions. You are responsible for ensuring that your access to the Site is permitted under the laws of the jurisdiction from which you access it.

All content on the Site, including text, graphics, logos, images, data compilations, the Capital57 City 100 Index and its associated methodology, is the property of Capital57 or its licensors, and is protected by Australian and international copyright, trademark, database, and other intellectual property laws.

You may access, view, and print pages from the Site for your own personal, non-commercial reference. You may not otherwise reproduce, distribute, modify, republish, transmit, or exploit any part of the Site without our prior written consent.

Capital57 does not endorse, and is not responsible for, the content, accuracy, or practices of any third-party website or service. Your use of a third-party website is at your own risk and subject to the terms of that third party.

Limitation of liability

To the maximum extent permitted by law, and except in respect of liability that cannot be excluded under applicable law, Capital57, its affiliates, and their respective directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your access to or use of the Site, whether in contract, tort, statute, or otherwise.

Where liability cannot be excluded but may be limited, our total aggregate liability arising out of or in connection with your access to or use of the Site shall not exceed one hundred Australian dollars (A$100).

You agree to indemnify and hold harmless Capital57, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your violation of any applicable law or the rights of any third party.

We may amend these Terms at any time. The current version is always available at capital57.com/terms and will indicate the effective date. Your continued use of the Site following any such amendment constitutes acceptance of the amended Terms.

Governing law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by, and shall be construed in accordance with, the laws of New South Wales, Australia.

Dispute resolution

The parties agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, in respect of any dispute or claim arising out of or in connection with these Terms or the Site.
